These Terms and Conditions (“Terms”) govern your access to and use of the website located at cannixx.com (the “Site”), and your purchase of any products sold by Cannixx International LLC, a Texas limited liability company (“Cannixx,” “we,” “us,” or “our”). By accessing the Site, creating an account, or placing an order, you (“you,” “your,” or “Buyer”) agree to be bound by these Terms and by our Privacy Policy, which is incorporated here by reference. If you do not agree to these Terms, you must not access the Site or purchase our products.

We may revise these Terms at any time by updating this page. Changes take effect immediately upon posting, and the “Last Updated” date above will reflect the most recent revision. Your continued use of the Site after any change constitutes your acceptance of the revised Terms. We encourage you to review this page periodically.

1. Eligibility and Age Restriction

You must be at least 21 years of age to access the Site, create an account, or purchase any Cannixx product. By placing an order, you represent and warrant that you are at least 21 years old and that you are legally permitted to purchase hemp-derived CBD products in the jurisdiction where you reside and where the products will be shipped. We reserve the right to request age verification at any time and to refuse or cancel any order where we reasonably believe this requirement has not been met.

It is your sole responsibility to determine whether it is legal for you to purchase, possess, and use Cannixx products in your state, territory, or country. Hemp and hemp-derived CBD laws vary by jurisdiction and change frequently. Cannixx does not guarantee that our products are legal in every jurisdiction and is not responsible for your compliance with local law.

2. Our Products

Cannixx sells hemp-derived CBD products only, currently CBD drops (tinctures) and CBD topical sticks. We do not sell, process, market, or knowingly ship any product containing THC above the legal hemp threshold, and no statement on this Site should be read as an offer to sell a THC product. All products are derived from hemp containing no more than 0.3% delta-9 THC on a dry-weight basis, consistent with the definition of “hemp” under the U.S. Agriculture Improvement Act of 2018 (the “2018 Farm Bill”).

Product descriptions, images, and Certificate of Analysis (COA) results are provided for informational purposes and are subject to change without notice. We make reasonable efforts to display accurate information but do not warrant that product descriptions, pricing, or other content on the Site is complete, current, or error-free. We reserve the right to correct any errors, inaccuracies, or omissions, and to change or update information, at any time without prior notice, including after you have submitted an order.

3. FDA Disclosure and Health Disclaimer

These statements have not been evaluated by the Food and Drug Administration. Cannixx products are not intended to diagnose, treat, cure, or prevent any disease.

Nothing on this Site, in our marketing materials, or in any communication from Cannixx, including through our website chat, phone line, or social media channels, constitutes medical advice or a claim that any Cannixx product will diagnose, treat, cure, mitigate, or prevent any disease or health condition. Any general wellness information we provide is educational only and is not a substitute for the advice of a licensed physician or other qualified healthcare provider. You should consult your doctor before using any Cannixx product, particularly if you are pregnant, nursing, taking prescription medication, or have a medical condition. Do not use our products if you are pregnant or nursing.

4. Use of the Site

Subject to your compliance with these Terms, Cannixx grants you a limited, revocable, non-exclusive, non-transferable license to access and make personal, non-commercial use of the Site. This license does not include any right to: (a) resell or make commercial use of the Site or its content; (b) collect or use any product listings, descriptions, or pricing for the benefit of a competing business; (c) use any data mining, robots, scraping, or similar data-gathering tools on the Site; (d) download or copy account information for the benefit of another party; or (e) frame, mirror, or otherwise incorporate any part of the Site into another website without our prior written consent.

All rights not expressly granted to you in these Terms are reserved by Cannixx and our licensors.

5. Account Registration and Security

If you create an account on the Site, you agree to provide accurate, current, and complete information and to keep that information up to date. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Notify us immediately at info@cannixx.com if you suspect any unauthorized use of your account. We reserve the right to suspend or terminate any account, at our discretion, if we believe the information provided is false, misleading, or in violation of these Terms.

6. Orders, Pricing, and Payment

Placing an order through the Site is an offer to purchase the selected products under these Terms. No order is accepted until we confirm it by email or, if earlier, by shipping the product to you. We may decline or cancel any order at our discretion, including where we suspect fraud, pricing or listing errors, or a violation of these Terms, even after we have sent an order confirmation.

All prices are listed in U.S. dollars and are subject to change without notice; the price charged will be the price shown at checkout. Posted prices do not include applicable taxes or shipping charges, which will be calculated and displayed before you complete your purchase. We make reasonable efforts to ensure pricing accuracy but are not liable for typographical or pricing errors, and we reserve the right to correct such errors and to cancel any order affected by them, even after payment has been processed.

By providing payment information, you represent that you are authorized to use the payment method provided and authorize us (or our third-party payment processor) to charge the full order amount, including taxes and shipping, to that payment method.

7. Shipping and Delivery

We currently ship only within the United States and only to states and territories where the sale and delivery of hemp-derived CBD products is permitted. We reserve the right to refuse shipment to any address where we reasonably believe delivery would violate state or local law. Shipping timeframes provided at checkout are estimates only; we are not responsible for delays caused by carriers or events outside our reasonable control. Risk of loss and title to products pass to you upon our delivery of the products to the shipping carrier.

8. Returns and Refunds

Returns, exchanges, and refunds are governed by our separate Return and Refund Policy, available at cannixx.com/return-policy, which is incorporated into these Terms by reference. Please review that policy before requesting a return.

9. Prohibited Uses

In connection with your use of the Site, you agree not to:

• Violate any applicable federal, state, or local law or regulation;
• Resell, redistribute, or repackage Cannixx products without our prior written authorization;
• Impersonate any person or entity, or misrepresent your affiliation with any person or entity;
• Submit false, misleading, or fraudulent information, including false age or identity representations;
• Interfere with or disrupt the Site, its servers, or networks connected to the Site;
• Use any automated system, including bots or scrapers, to access the Site without our permission; or
• Post or transmit any content that is unlawful, defamatory, obscene, or infringes the rights of any third party.

We reserve the right to investigate suspected violations of this section and to suspend or terminate access to the Site, cancel pending orders, and cooperate with law enforcement as appropriate.

10. Intellectual Property

All content on the Site, including text, graphics, logos, product images, and the Cannixx name and marks, is the property of Cannixx or its licensors and is protected by U.S. and international intellectual property laws. You may not copy, reproduce, distribute, or create derivative works from any Site content without our prior written consent, except that you may print a single copy of Site content for your own personal, non-commercial reference.

11. Reviews and User Submissions

If you submit a product review, comment, or other content to the Site (a “Submission”), you grant Cannixx a non-exclusive, royalty-free, worldwide, perpetual, and sublicensable license to use, reproduce, edit, publish, translate, and display that Submission in connection with our business, in any media now known or later developed. You represent that you own or otherwise control all rights to your Submission and that it does not violate these Terms or any third party’s rights. We may remove any Submission at our discretion and are under no obligation to post, use, or return any Submission.

12. Third-Party Links

The Site may contain links to third-party websites that are not owned or controlled by Cannixx. We are not responsible for the content, policies, or practices of any third-party site, and inclusion of a link does not imply our endorsement. You access third-party sites at your own risk.

13. Disclaimer of Warranties

THE SITE AND ALL PRODUCTS ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING, WITHOUT LIMITATION, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

Cannixx does not warrant that the Site will be uninterrupted, secure, or error-free, or that any product will meet your expectations, including with respect to any perceived health or wellness benefit. Some jurisdictions do not allow the exclusion of certain warranties, so some of the above exclusions may not apply to you.

14. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, CANNIXX AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, OR DATA, ARISING OUT OF OR RELATED TO YOUR USE OF THE SITE OR ANY CANNIXX PRODUCT, WHETHER BASED IN CONTRACT, TORT, OR ANY OTHER LEGAL THEORY, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT WILL CANNIXX’S TOTAL AGGREGATE LIABILITY TO YOU FOR ANY CLAIM ARISING OUT OF OR RELATED TO THESE TERMS EXCEED THE AMOUNT YOU PAID TO CANNIXX FOR THE PRODUCT(S) GIVING RISE TO THE CLAIM.

Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you. Nothing in this section limits liability that cannot be limited under applicable law, including liability for gross negligence, willful misconduct, or death or bodily injury caused by our negligence.

15. Indemnification

You agree to indemnify, defend, and hold harmless Cannixx and its officers, directors, employees, and affiliates from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys’ fees, arising out of or related to: (a) your breach of these Terms; (b) your misuse of any Cannixx product, including use inconsistent with the product label; or (c) your violation of any applicable law or third-party right.

16. Dispute Resolution – Binding Arbitration and Class Action Waiver

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT.

You and Cannixx agree that any dispute, claim, or controversy arising out of or relating to these Terms, the Site, or any Cannixx product, whether based in contract, tort, statute, or any other legal theory, will be resolved exclusively through final and binding arbitration, rather than in court, except that either party may bring an individual claim in small claims court where permitted.

The arbitration will be administered by the American Arbitration Association (“AAA”) under its Consumer Arbitration Rules then in effect. The Federal Arbitration Act governs the interpretation and enforcement of this section. The arbitrator, not any court, has exclusive authority to resolve any dispute about the interpretation, applicability, or enforceability of this arbitration agreement.

CLASS ACTION WAIVER: You and Cannixx agree that each may bring claims against the other only in an individual capacity and not as a plaintiff or class member in any purported class, collective, or representative proceeding. The arbitrator may not consolidate more than one person’s claims and may not otherwise preside over any form of a representative or class proceeding.

If any part of this arbitration agreement is found unenforceable, that part will be severed and the remainder of this section will remain in full force. You may opt out of this arbitration agreement by sending written notice to info@cannixx.com within 30 days of first accepting these Terms.

17. Governing Law

These Terms are governed by the laws of the State of Texas, without regard to its conflict-of-laws principles. To the extent any dispute is not subject to arbitration under Section 16, you agree to submit to the exclusive jurisdiction of the state and federal courts located in the United States.

18. Force Majeure

Cannixx will not be liable for any delay or failure to perform resulting from causes outside our reasonable control, including acts of God, natural disaster, labor disputes, carrier delays, governmental action, or supply chain disruption.

19. General Provisions

Severability. If any provision of these Terms is held invalid or unenforceable, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force.

No Waiver. Our failure to enforce any right or provision of these Terms will not be deemed a waiver of that right or provision.

Assignment. You may not assign or transfer these Terms without our prior written consent. We may assign these Terms without restriction.

Entire Agreement. These Terms, together with our Privacy Policy and Return and Refund Policy, constitute the entire agreement between you and Cannixx regarding the Site and supersede any prior agreements.
